Hello Smooth Dancers,

I’m honored to be your president this year.  For those of you who don’t know me, I’m married to our lovely Queen Wendy.  We have been dancing for about six years.  We have three kids:  Elizabeth 11, Caleb 9, and Philip 7.  We live and farm in the Shafter area.

Enough about me!  We had a very busy board meeting on January 2, 2012.  Along with routine reports, we approved a budget and approved an amendment to our club’s bylaws.  The bylaw amendment now needs to be approved by the rest of the membership. 

The process for bylaw amendments is first, the board approves an amendment.  Second, the membership is given the text of the amendment for review.  Then lastly, the amendment is voted on at a monthly membership meeting.  If there is a quorum of at least 10% of our membership, then the amendment is approved by a 2/3 positive vote.   Below, you will find the text of the amendment for review.  The club will vote at the February membership meeting.

I understand that the topic of bylaws causes many people’s eyes to glaze over, so here is brief explanation.  The first part is Article VIII.  The change updates the bylaws to match the current practice of installing officers.  The second part is Article VI.  The change allows the board to use email, phone and video conferencing under certain conditions. 

Before delving into the minutia of the revisions, remember:

Article VIII.  Nominations and Election of Officers

1.       Nominations for officers shall begin in May.  The election shall be held in November and officers installed in January at a general membership meeting……

The election shall be held in November and the officers installed in December at a general membership meeting.  The term of office shall begin on January 1.

 

 

Article VI.

4. Special Meeting:

Special Meetings of the Board of Directors may be called by or at the request of the president or any two directors.  The person or persons authorized to call special meetings of the board may fix any place, within Kern County, California, for holding any special meeting of the board called by them.  Notice of any special meeting of the Board of Directors shall be given at least seventy two (72) hours previous previous  thereto by written notice delivered personally, or sent by mail to each director at the address shown by the records of the corporation, or by phone or email as long as there is a response to confirm notification.  If mailed, such notice shall deemed to be delivered when deposited in the United States mail in a sealed envelope so addressed, with postage prepaid….

 

5. Special Meetings Without Members Physically Present:

 In the interim between regular meetings the president or two board members may call for action with-out convening a Special Meeting with members present.  This would require the same notification for special meetings listed in Article VI section 4. This may take several forms:

A. Telephone conference call with a quorum of members.

B. Live video conference with a quorum of members present.

C. Unanimous Written Consent:  This requires that a motion be put to the board members with a due date for their response.  Every Board member must respond with their vote in written form physically or electronically by the due date and the vote must be unanimously in favor of the motion for the motion to pass.  Any absence of a vote or negative vote would cause the motion to fail.  The president would then be responsible to collect all written votes for presentation to the secretary. The secretary shall then record the passing of the motion.
